Website development and hosting terms
These terms apply to website development, launch, and hosting from Montana Web Host unless a project-specific agreement, proposal, invoice, or email confirmation says otherwise. Scope, pricing, timeline, and payments are set separately for each project.
1. Services
- Website builds are one-time projects with a locked scope before work starts (Good, Better, Best, and agreed add-ons).
- Hosting is ongoing and includes SSL-ready setup, basic security, backups as agreed, and storage/bandwidth suitable for the plan. All websites we build and host require a hosting agreement.
- Business email (when included or purchased) is provided under the agreed mailbox count.
- Maintenance: routine updates and minor content edits within a reasonable yearly allowance; larger redesigns or new features are quoted separately.
- Uptime: we make commercially reasonable efforts toward at least 99% uptime, subject to these terms and third-party factors outside our control.
2. Domains
We try to secure your first choice of domain at a reasonable cost. If that name is taken or costly, we move to your second choice, then third. Domain registration fees are separate unless we agree otherwise in writing.
3. Client responsibilities
- Provide accurate contact information and content (text, images, logos, product data) you have rights to use.
- Respond to review requests in a timely way so timelines stay realistic.
- Pay invoices on the schedule agreed in the proposal or invoice.
4. Ownership and intellectual property
- You keep rights to content you provide (text, images, products, trademarks).
- We keep ownership of reusable code, templates, frameworks, and proprietary tools.
- After full payment, and while hosted with us, you get a perpetual, non-exclusive, royalty-free license to use the finished site for your business.
- On termination you may request a one-time export of your content and basic site files (fee up to $100 unless otherwise agreed). We are not obligated to transfer proprietary or reusable platform code.
5. Warranties and disclaimers
We perform services in a professional and workmanlike manner. Except as required by law, all other warranties are disclaimed, including merchantability, fitness for a particular purpose, non-infringement, uptime beyond our 99% efforts, absolute security, error-free performance, traffic, revenue, sales, or third-party compatibility.
6. Limitation of liability
We are not liable for indirect, incidental, consequential, special, or punitive damages. Total liability is capped at the amounts you paid us in the preceding 12 months. You are responsible for your content. Each party indemnifies the other for its own gross negligence or willful misconduct.
7. Termination
- Either party may end ongoing hosting with 30 days written notice.
- We may suspend service immediately if payments are overdue more than 30 days.
- You pay all outstanding balances on termination.
8. Force majeure
Neither party is liable for failure caused by events beyond reasonable control, including natural disasters, war, civil unrest, or major third-party outages.
9. Dispute resolution
- Good-faith mediation in Kalispell, Montana.
- If unresolved, Montana law governs and exclusive venue is the courts of Flathead County, Montana.
10. Miscellaneous
- These terms plus any project-specific agreement or email acceptance are the entire agreement and replace prior understandings on the same subject.
- Amendments must be in writing and agreed by both parties.
- If one part is invalid, the rest still applies.
- Assignment needs written consent.
- Notices may be sent by email or certified mail.
- Electronic acceptance (including form checkboxes and email confirmation) is valid.
